Subsequently to the collection of the expressions of interest of last June 5, the Extraordinary Commissioners, Luigi Gubitosi, Enrico Laghi and Stefano Paleari, have sent the Procedure Letters to those who expressed their interest in the Italian airline company and that were deemed suitable according to the requirements set out in the Call published on May 17.

As announced in our newsletter of May 12, the call for the collection of non-binding expressions of interest, drawn up by the three Commissioners responsible for the procedure, Prof. Luigi Gubitosi, Stefano Paleari, Enrico Laghi, was published on the website of Alitalia Extraordinary Administration (www.amministrazionestraordinariaalitaliasai.it/), in relation to the two Alitalia companies admitted to the extraordinary administration procedure (Alitalia - Società Aerea Italiana S.p.A. and Alitalia Cityliner S.p.A.).

As outlined in our previous newsletter dated May 3, the extraordinary administration is a particular procedure of public importance for the sale of large insolvent companies, subject to special rules (Law Decree no. 347/2003 and Legislative Decree no. 270/1999) that may derogate from general private law.

With the Ministerial Decree of 2 May 2017 on the admission of Alitalia S.p.A. to the extraordinary administration procedure, the three extraordinary commissioners (Prof. Luigi Gubitosi, Enrico Laghi and Stefano Paleari) have been appointed to set up the business transfer or restructuring plan referred to in article 54 of Legislative Decree no. 270/1999.

Following the Shareholding Meeting’s resolution approved on last May 2^nd, the management of the Italian airline Company (Alitalia - Società Aerea Italiana S.p.A.) has formalized the request to have access to the extraordinary administration procedure reserved to the Italian large insolvent companies (the so-called Marzano Law).

Recently, new provisions favorable to banks or other entities authorized to grant credit to the public have been introduced into our judicial system, implementing the so-called Consolidated Banking Act (Legislative Decree 1 September 1993, no. 385) so as to provide the creditor with the most effective instruments for recovering the funds granted to the borrower, being either entrepreneur or consumer.

On May 3, 2016, the Decree Law 3 May 2016, no. 59, containing “Urgent provisions on enforcement and bankruptcy proceedings in favor of investors in banks in liquidation”, entered into force and introduced a new form of credit guarantee, the so-called non-possessory pledge.

This Decree was converted into Law no. 119 of 30 June 2016 and published in the Official Gazette no. 153 on July 2, 2016.

On February 10, 2016, the European Commission has launched a public consultation (tradoc_154258.pdf) concerning the methodology used in the EU to hinder Chinese’s anti-dumping practices.

The EU open public consultation on the expiration of the provisions affecting the Non Market Economy Status of China and the anti-dumping investigations on that country closed on April 20, 2016.
